Welcome to BITECH. These Terms of Service (“Terms”) govern your access to and use of our website, as well as the purchase, customization, and supply of industrial PCs, embedded computers, edge AI systems, and related technical services (collectively, “Products” and “Services”).

By placing an order or using this website, you (“Customer”) agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

1. Offer and Acceptance

All quotations, order acknowledgments, and invoices provided by BITECH are subject to these Terms. Any terms proposed by the Customer in its purchase order or other documents that differ from or are in addition to these Terms are hereby objected to and will not be binding unless expressly agreed to in writing by a duly authorized representative of BITECH.

2. Pricing and Payment

  • Quotations: Prices are valid for 30 days from the date of quotation unless otherwise stated. All prices are quoted in USD (or local currency agreed in writing) and are exclusive of taxes, duties, and shipping costs.

  • NRE and MOQ: Non-Recurring Engineering (NRE) fees for OEM/ODM services (e.g., custom carrier boards, BIOS modifications, enclosures) are quoted upfront. Turnkey OEM programs begin with a Minimum Order Quantity (MOQ) of 100 units.

  • Payment Terms: Standard terms are 50% deposit with order and 50% prior to shipment. For approved credit accounts, net 30 days from invoice date may apply. BITECH reserves the right to suspend performance if payment is delinquent.

  • Retention of Title: Notwithstanding delivery and the passing of risk, the legal and equitable title to the Products shall remain with BITECH until BITECH has received payment in full for the Products and all other sums due from the Customer. In the event of Customer’s default, BITECH reserves the right to repossess or dispose of the Products as it sees fit.

3. Sample and Production Lead Times

  • Standard Samples: Delivered within 10 business days from order confirmation and receipt of all technical requirements.

  • Custom Carrier Boards / Mechanical: Delivered within 4 weeks for sampling and validation.

  • Mass Production: Lead times are confirmed upon order placement and are subject to component availability. BITECH will not be liable for delays caused by force majeure or global supply chain disruptions.

4. Product Lifecycle and Supply Commitment

  • 10-Year Lifecycle: BITECH guarantees a minimum 10-year supply commitment for modular SOM (System-on-Module) platforms. This is achieved via strict BOM control and pin-compatible upgrades in the event of component EOL (End-of-Life).

  • Changes: BITECH reserves the right to make design or material changes necessary to maintain reliability, provided that form, fit, and function remain substantially consistent.

    BITECH shall provide at least 90 days’ advance notice for any material changes affecting the form, fit, or function of the Products.

5. Quality Assurance and Acceptance

  • Burn-In Test: 100% of units (not sample-based) undergo an 18-hour full-load burn-in test prior to shipment.

  • Inspection: Customer must inspect all Products within 14 days of receipt. Claims for shortages, defects, or damage must be submitted in writing within this period. Failure to do so constitutes acceptance of the Products.

6. Warranty

  • Standard Warranty: 24-month global warranty from the date of shipment covering defects in materials and workmanship under normal industrial use (operating temperatures: -40°C to +60°C for AX series; -30°C to +60°C for AE-3588 series).

  • Exclusions: Warranty does not cover damage from misuse, accidents, lightning, improper voltage, ground loops (where 2.5kV isolation is not specified), unauthorized modification, or software/OS issues.

  • Remedy: BITECH will, at its option, repair or replace defective units. Customer pays shipping to BITECH; BITECH pays return shipping for validated warranty claims.

    BITECH does not warrant that the Products will be compatible with all third-party hardware or software, nor does it guarantee the Products are fit for any particular purpose unless specified in a signed statement of work.

7. OEM/ODM and Intellectual Property

  • Customer IP: Any schematics, mechanical drawings, or firmware provided by the Customer remain the Customer’s property. BITECH will not use them for any other customer without explicit written consent.

  • BITECH IP: All carrier board designs, SOM architectures, BIOS base code, thermal simulations, and tooling remain the exclusive property of BITECH, even if developed under an NRE agreement.

  • Private Labeling: BITECH grants the Customer a non-exclusive right to apply its branding (silk-screening, laser engraving) to purchased hardware. No other license is implied.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR PRODUCTION DOWNTIME.
BITECH’s total cumulative liability arising from or related to these Terms or the Products shall not exceed the total amount paid by Customer for the specific Product giving rise to the claim.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if BITECH has been advised of the possibility of such damages.
Customer acknowledges that the limitation of liability is a fundamental element of the price consideration between the parties.

9. Technical Resources and Export Compliance

  • Documentation: 3D STEP models, Linux BSPs, SDKs, and whitepapers are provided “AS IS” for engineering evaluation. BITECH does not warrant that the documentation is error-free.

  • Export Control: Products may be subject to export control laws of China and other countries. Customer agrees to comply with all applicable export and import regulations (e.g., not reselling to embargoed entities or for military purposes without authorization).

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the People’s Republic of China, without regard to conflict of law principles. Any dispute arising from these Terms shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration, The language of the arbitration shall be English, and the arbitral award shall be final and binding.

11. Modifications and Severability

BITECH may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
